1. Acceptance of Terms
By accessing or using Huki ("the Service"), you agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 13 years old to use Huki. By using the Service you represent that you meet this requirement and that you are capable of forming a binding contract.
3. Account & Phone Verification
Access to Huki requires a valid phone number. You are responsible for all activity that occurs under your account. You agree to provide accurate information and to keep your phone number current. We may suspend or terminate accounts associated with invalid or recycled phone numbers.
4. The Huki System
4.1 What Hukis Are
A "Huki" is a digital token of gratitude sent from one user to another. Hukis have no cash value, cannot be redeemed for money, and are not transferable outside the platform.
4.2 Sending Hukis
You may only send Hukis using a balance earned through the platform. Sending a Huki transmits an SMS to the recipient's phone number on your behalf. You are responsible for ensuring you have the recipient's consent to contact them. Do not send Hukis to emergency numbers, shortcodes, or any number you do not have permission to message.
4.3 Receiving Hukis
Hukis sent to your phone number are pending until you accept them. You may ignore any Huki you do not wish to accept. Accepted Hukis add to your balance; ignored or expired Hukis do not. Huki balances are non-transferable and have no monetary value.
4.4 Magic Links
Each Huki includes a unique magic link. Magic links are single-use tokens scoped to the recipient's phone number. Do not share magic links publicly. Huki is not responsible for consequences arising from a shared or exposed magic link.
4.5 Withdrawals
Senders may withdraw a pending (unaccepted) Huki at any time. Withdrawn Hukis restore the sender's balance. Once a Huki is accepted it cannot be withdrawn.
5. Prohibited Conduct
You agree not to:
- Use the Service to harass, threaten, or abuse any person.
- Send unsolicited Hukis to people who have not consented to be contacted.
- Attempt to manipulate your balance through fraudulent means.
- Reverse-engineer, scrape, or otherwise interfere with the Service.
- Use the Service to violate any applicable law or regulation.
6. Intellectual Property
All content, branding, and software comprising the Service are owned by Huki or its licensors. You may not reproduce, distribute, or create derivative works without express written permission.
7. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you consent to our collection and use of data as described in the Privacy Policy.
8. SMS Communications
By providing your phone number and using the Service, you consent to receive transactional SMS messages (OTP codes, Huki notifications, reminders). Standard message and data rates may apply. You can opt out by contacting us, though doing so may prevent you from using core features of the Service.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Huki does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components.
10. Limitation of Liability
To the fullest extent permitted by law, Huki and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, even if advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless Huki and its affiliates from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.
12. Modifications
We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We will make reasonable efforts to notify users of material changes.
13. Termination
We reserve the right to suspend or terminate your access to the Service at our discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, the Service, or third parties.
14. Governing Law
These Terms are governed by the laws of the jurisdiction in which Huki operates, without regard to its conflict-of-law provisions.
